1. Introduction
Welcome to Pro Inventory Management (“PIM,” “we,” “us,” or “our”). PIM is a software-as-a-service platform designed to help users manage inventory across multiple marketplaces and point-of-sale systems.
These Terms of Service and End User License Agreement (“Terms”) govern your (“you” or “User”) access to and use of our platform, websites, mobile applications, APIs, and any other related services (collectively, the “Service”). By using the Service, you agree to be bound by these Terms. If you do not agree, do not use our Service.
2. Definitions
- “Account” means a unique account created for you to access our Service or parts of our Service.
- “Content” means any text, graphics, photos, data, or other materials uploaded, downloaded, or appearing on the Service.
- “Integrations” refer to third-party platforms (e.g., eBay, HipComic, One Source, Clover POS) with which PIM may interface or exchange data.
3. Account Registration & User Responsibilities
By creating an Account or otherwise using our Service, you represent and warrant that:
- You are at least 18 years old and have the legal capacity to enter into these Terms.
- All information you submit is accurate, current, and complete, and you will keep it updated.
- You will maintain the confidentiality of your login credentials and promptly notify us of any unauthorized use or security breach related to your Account.
- You are solely responsible for all activity that occurs under your Account.
4. License Grant & Software Usage
PIM grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for managing your inventory, subject to these Terms. This license does not allow you to:
- Reverse engineer, decompile, or otherwise attempt to extract the source code of the software, except where such activity is expressly permitted by law.
- Reproduce, redistribute, or sublicense the Service or any portion of it without our express written permission.
- Use the Service for any unlawful or fraudulent purposes.
We reserve all rights not explicitly granted under these Terms. The Service is licensed, not sold, to you.
5. Subscription & Payments
5.1 Subscription Plans. Our Service may be offered under different subscription plans, each with its own features and pricing. By subscribing, you agree to pay all applicable fees.
5.2 Billing Cycle. Fees may be charged on a recurring basis (monthly, annually, or otherwise). Unless stated otherwise, your subscription will automatically renew at the end of each billing cycle unless canceled before renewal.
5.3 Payment Method. You must provide a valid payment method. By providing a payment method, you represent and warrant that you are authorized to use it. You authorize us to charge your payment method for all fees due under your subscription.
5.4 Refunds. Unless required by law, we do not offer refunds for partial subscription periods. We may, at our sole discretion, offer prorated refunds or credits under special circumstances.
6. Third-Party Integrations
The Service integrates with third-party platforms (e.g., eBay, HipComic, One Source, Clover POS) to sync and manage inventory. We do not control these third-party services, and we are not liable for their availability, accuracy, or performance. Your use of third-party platforms is governed by their respective terms of service and policies. Any reliance on third-party data is at your own risk.
7. Data Ownership, User Content & Privacy
7.1 Ownership of User Data. You retain ownership of any Content (including inventory data) that you upload or submit (“User Content”). By using the Service, you grant PIM a worldwide, non-exclusive, royalty-free license to store, display, and otherwise use your User Content solely for the purpose of providing and improving the Service.
7.2 Accuracy of Data. You are responsible for the accuracy and legality of your User Content, including ensuring that it does not violate any third-party rights or applicable laws.
7.3 Privacy Policy. Our collection and use of personal data is governed by our Privacy Policy, which is incorporated by reference. By using the Service, you agree to abide by our Privacy Policy.
8. Acceptable Use Policy
You agree not to engage in any of the following prohibited activities:
- Uploading any Content that is unlawful, harmful, or violates any applicable laws.
- Attempting to interfere with or disrupt the Service, servers, or networks connected to the Service.
- Distributing viruses, malware, or other harmful code through the Service.
- Engaging in automated data collection (scraping) without our prior written consent.
- Impersonating another person or misrepresenting your affiliation with a person or entity.
We reserve the right to investigate and take legal action against anyone who, in our sole discretion, violates this Acceptable Use Policy.
9. Intellectual Property Rights
PIM and its licensors own all right, title, and interest in and to the Service, including any underlying software, trademarks, logos, and other intellectual property. Except for the limited license granted to you, no rights are transferred under these Terms.
10. Security Measures
We implement commercially reasonable security measures to protect your data. However, no method of transmission or electronic storage is 100% secure. You acknowledge that you provide your data at your own risk.
11. Termination of Service
11.1 Termination by PIM. We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have breached these Terms or engaged in conduct that harms the Service or other users.
11.2 Termination by User. You may cancel your Account at any time. If you cancel, you will not be entitled to a refund of any fees already paid unless required by law or expressly stated in our refund policy.
11.3 Effect of Termination. Upon termination, your right to use the Service will immediately cease, and you may lose access to your User Content. It is your responsibility to back up your data before cancellation or termination.
12. Disclaimers & Liability Limitations
12.1 “As Is” Disclaimer. The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
12.2 No Guarantee of Results. We do not guarantee any specific results, including increased sales or improved inventory accuracy, from the use of the Service.
12.3 Limitation of Liability. To the maximum extent permitted by applicable law, PIM and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.
12.4 Maximum Liability. In no event shall our total liability exceed the amount you have paid to us in the twelve (12) months prior to the event giving rise to the claim.
13. Indemnification
You agree to defend, indemnify, and hold harmless PIM, its affiliates, and their respective directors, officers, employees, and agents from and against all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorneys’ fees) arising from:
- Your use of and access to the Service.
- Your violation of any term of these Terms.
- Your violation of any third-party right, including any intellectual property right or privacy right.
14. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms shall be settled by binding arbitration in Los Angeles County, California, and the arbitrator’s decision may be enforced in any court of competent jurisdiction.
15. Changes to This Agreement
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide notice. Your continued use of the Service after any such changes constitutes acceptance of the new Terms.
16. Miscellaneous
16.1 Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
16.2 No Waiver. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
16.3 Assignment. You may not assign these Terms or any of your rights or obligations under them without our prior written consent. We may freely assign our rights and obligations under these Terms.
16.4 Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and PIM regarding the Service, superseding any prior agreements.
